1. Introduction
These Terms of Service ("Terms") govern your access to and use of the websites, products, and services provided by ExtraLink LLC ("ExtraLink", "we", "us", or "our"), including EA (Edge Acceleration) content delivery and acceleration, Cloud Servers, cross-region private network acceleration ("GlobalLink", formerly 寰球互联), AI model API aggregation and relay ("anyflows"), and AI agent services ("Weiyang", formerly 未央) (together, the "Services"). By creating an account, placing an order, or using any Service, you agree to these Terms, our Acceptable Use Policy ("AUP"), Privacy Policy, and Refund & Cancellation Policy (together, the "Agreements").
2. Eligibility and Accounts
2.1 You must be at least 18 years old and capable of forming a binding contract. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.
2.2 You are responsible for maintaining accurate account information and for all activity that occurs under your account, including activity by your employees, contractors, and end users. You must keep login credentials and API keys confidential and notify us promptly of any suspected unauthorized use.
3. Orders, Plans and Activation
3.1 You place orders through our website, console, or a written quotation. Standard plans activate after payment is received; customized or quoted services are activated per the terms of the applicable quotation or order agreement.
3.2 Service specifications, resource limits, and periods are set out on the relevant product pages, pricing page, and order materials, which form part of these Terms.
4. Fees, Payment and Billing
4.1 Fees are stated in the currency shown at the time of order ([USD] unless otherwise agreed). Unless agreed otherwise, fees are payable in advance for the applicable billing period (monthly or annual).
4.2 Payments are processed through our payment providers, including HantePay. You authorize us and our providers to charge the payment method on file for all due fees.
4.3 If payment is not received by the due date, we may suspend Services and charge applicable late fees. We may change prices for renewal periods with reasonable prior notice; changes do not affect your current paid period.
4.4 You must notify us of any billing dispute within [30] days of the relevant invoice, after which the invoice is deemed correct.
5. Use of the Services and Your Content
5.1 You may use the Services only in compliance with these Agreements and applicable law. You are responsible for your content, configurations, and traffic, and for your end users' use of the Services.
5.2 Where you use AI-related Services, you are responsible for the inputs you submit and outputs you distribute, and you must comply with the policies of upstream AI model providers made available through the Services.
6. Acceptable Use
The AUP is incorporated by reference. A violation of the AUP may result in suspension or termination of your account and Services without refund, in addition to other remedies.
7. Service Levels and Maintenance
7.1 We publish service level commitments for applicable Services (e.g., an uptime target of [99.9%]) in the relevant product documentation or SLA schedule. Credits, if any, are issued per that schedule and are your sole remedy for SLA failures.
7.2 We may perform scheduled maintenance with reasonable notice and, where reasonably practicable, outside peak hours. Emergency maintenance may occur without notice.
8. Data, Security and Privacy
8.1 Our collection and handling of personal data is described in the Privacy Policy. You retain all rights in the content and data you store or process through the Services.
8.2 We use reasonable technical and organizational measures to protect the Services; however, you are responsible for backing up your data unless a backup feature is expressly included in your plan. Data deletion after termination follows the Refund & Cancellation Policy.
9. Intellectual Property
9.1 As between you and ExtraLink, ExtraLink owns all rights in the Services, websites, software, documentation, and branding. We grant you a limited, non-exclusive, non-transferable right to use the Services during the applicable term, subject to these Terms.
9.2 If you provide feedback or suggestions, you grant us a non-exclusive, worldwide, perpetual license to use them to improve our Services.
10. Third-Party and AI Model Providers
10.1 Some Services (including anyflows and Weiyang) relay requests to third-party AI model providers. We do not control these providers, and we are not responsible for their availability, outputs, or policies.
10.2 You warrant that your use of third-party models through the Services is lawful and consistent with the relevant provider's terms. AI outputs may be inaccurate or unsuitable for certain uses; you evaluate fitness for your purposes.
11. Suspension and Termination
11.1 We may suspend or restrict Services immediately where required by law, to prevent fraud or abuse, or to protect the security of our network and other customers.
11.2 Either party may terminate for material breach if the breach remains uncured for [7] days after written notice.
11.3 You may cancel at any time; refunds, if any, follow the Refund & Cancellation Policy.
12. Disclaimers
Except for express SLA commitments, the Services are provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free, or that AI outputs will be accurate, complete, or safe for your use case.
13. Limitation of Liability
To the maximum extent permitted by law, ExtraLink's aggregate liability arising out of or related to these Terms or the Services shall not exceed the amounts paid or payable by you in the [12] months preceding the event giving rise to liability, or [USD 1,000], whichever is greater. In no event shall ExtraLink be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill. Some jurisdictions do not allow certain exclusions; if such law applies to you, these limitations apply to the fullest extent permitted.
14. Indemnification
You agree to defend, indemnify, and hold harmless ExtraLink and its officers, directors, employees, and agents from any third-party claims, damages, and costs arising out of your content, your use of the Services, your violation of these Agreements, or your infringement of any third-party right, including intellectual property claims related to content you distribute through the Services.
15. Export and Sanctions Compliance
You agree to comply with all applicable export control and sanctions laws. You may not use the Services in or for the benefit of any country, person, or entity subject to comprehensive sanctions, or for any restricted end use.
16. Force Majeure
Neither party is liable for delays or failures caused by events beyond its reasonable control, including natural disasters, war, terrorism, power or network failures, and government actions.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Montana, USA, without regard to conflict-of-law principles. We encourage you to contact us first to resolve any dispute informally. Subject to any rights that cannot be waived by law, disputes not resolved informally will be brought exclusively in the state or federal courts located in Montana, USA. 18. Changes to These Terms
We may update these Terms from time to time. Material changes will be announced on the website and, where practicable, by email at least [14] days before they take effect. Continued use of the Services after changes take effect constitutes acceptance.
19. Notices

20. General
20.1 You may not assign these Terms without our prior written consent, except in connection with a merger or acquisition. We may assign these Terms.
20.2 If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver.
20.3 These Terms, together with the policies incorporated by reference, constitute the entire agreement between you and ExtraLink regarding the Services.
